Terms of Service
Effective date: 14 October 2026 · Version: 1.0
These Terms of Service ("Terms") are a binding agreement between you and Vaux Technologies Ltd, Lagos, Nigeria ("Vaux", "we", "us"). They govern your use of the Vaux website, studio, desktop and mobile apps, application programming interfaces ("API"), software development kits ("SDKs") and related services (together, the "Service").
By creating an account, clicking "I agree", or using the Service, you accept these Terms, our Privacy Policy, our Acceptable Use Policy and our Voice Consent Policy, which form part of these Terms. If you use the Service for an organization, you confirm that you are authorized to bind it, and "you" includes that organization.
Please read Section 6 (Voice Clones), Section 7 (AI Output and Your Responsibility), Section 15 (Limitation of Liability) and Section 18 (Disputes) carefully.
1. Who may use the Service
1.1 You must be at least 18 years old, or the age of majority where you live if higher, to create an account.
1.2 You may not use the Service if you have previously been banned from it, or if you are barred from receiving services under applicable sanctions or export laws.
1.3 You must give accurate account information and keep it up to date. You are responsible for everything that happens under your account and for keeping your password and API keys secret. Tell us immediately at [email protected] if you suspect unauthorized use.
2. What the Service does
2.1 Vaux converts input (your live speech, typed text, or replies written by an AI agent from information you provide) into synthetic speech in a voice you select. The result is a synthetic re-creation, so pronunciation, timing and intonation will differ from your own.
2.2 The Service relies in part on third-party technology and infrastructure providers. Features, voices, models and quality may change as those providers change.
2.3 We may add, change or remove features. If we remove a feature you paid for in advance, we will offer a fair alternative or a pro-rated credit.
3. Plans, credits and payment
3.1 Credits. Usage is measured in credits. The credit cost of each feature (for example, per minute of live voice, per thousand characters of type-to-speak, or per voice clone) is shown on our pricing page and in your dashboard, and may change on notice. Credits have no cash value, are not transferable and are not legal tender.
3.2 Subscriptions. Paid plans renew automatically at the end of each billing period at the then-current price until you cancel. You authorize us and our payment processors (such as Stripe, Paystack and Korapay) to charge your chosen payment method on each renewal. Each successful renewal adds the plan's monthly credits to your balance.
3.3 Top-ups and balance. Credits bought as one-time top-ups are added to the same balance. Unused credits stay in your balance while your account is open. We may expire credits on accounts that have been inactive for 12 months, after giving at least 30 days' notice by email, unless the law where you live requires otherwise.
3.4 Cancellation. You can cancel at any time in Billing. Cancellation takes effect at the end of the current billing period, and you keep access until then.
3.5 Refunds. Except where required by law, or where we materially fail to provide the Service, fees and used credits are non-refundable. If you are a consumer in a jurisdiction that grants a statutory withdrawal or cooling-off right, you may exercise it as the law provides. Where you ask us to start providing digital services immediately, you may lose that right once the service has been fully performed.
3.6 Taxes and currency. Prices exclude taxes unless stated. You are responsible for applicable taxes, including VAT. Prices may be shown in US dollars or Nigerian naira; your bank may charge conversion fees.
3.7 Failed payments. If a payment fails, we may retry it, pause paid features, or downgrade you to the free plan.
3.8 Price changes. We will give you at least 14 days' notice of a price increase for an existing subscription. The new price applies from your next renewal; you may cancel before then.
4. Your content
4.1 "Your Content" means anything you submit to the Service: audio, voice samples, text, briefs, transcripts, sounds and files.
4.2 You keep ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Your Content only as needed to provide, secure and support the Service for you, and to comply with law.
4.3 We do not use your voice recordings, voice clones or transcripts to train our own or third-party AI models without your separate, explicit opt-in consent.
4.4 You confirm that you have all rights and permissions needed for Your Content, and that Your Content and your use of it will not infringe anyone's rights or break any law.
5. Synthetic output
5.1 Subject to these Terms and payment of applicable fees, you may use the audio the Service generates for you ("Output") for personal and commercial purposes on paid plans, and for personal, non-commercial purposes on the free plan.
5.2 Output may be similar to output generated for other users. Rights in the underlying voices remain with us, our licensors or, for voice clones, the person whose voice it is. You do not acquire any right in a preset voice beyond using its Output under these Terms.
5.3 You must not represent Output as a real recording of a real person speaking, or of yourself, where that would mislead people in a way the Acceptable Use Policy prohibits.
6. Voice clones
6.1 You may only create a voice clone of your own voice, or of another living adult who has given you explicit, informed, written consent to clone their voice for the purposes you will use it for. You must be able to produce that consent on request.
6.2 You must not clone the voice of a minor, a deceased person, a public figure or anyone who has not consented, or any voice you obtained without the speaker's knowledge.
6.3 We may require a spoken consent statement, identity checks or other verification before or after a clone is created, and may suspend or delete clones where consent cannot be verified.
6.4 Clones are private to your account. You may not share, sell or transfer a clone unless the voice owner has consented and the Voice Consent Policy allows it.
6.5 If a person withdraws consent, you must stop using and delete the clone. Anyone who believes their voice has been cloned without consent can ask us to remove it under the Voice Consent Policy.
7. AI output and your responsibility
7.1 The agent can make mistakes. The meeting agent and other AI features generate replies automatically. They can be inaccurate, incomplete, inappropriate or out of date, and may misunderstand what was said. Review its behaviour before relying on it, and use approve-before-speaking mode for anything important.
7.2 You are responsible for what is said in your account's voice. Speech produced through your account, whether spoken, typed or generated by the agent from your brief, is treated as your communication. You are responsible for any commitments, statements or consequences that result.
7.3 Disclosure and recording laws. Some laws, platform rules and workplaces require you to tell others that they are hearing a synthetic or altered voice, or that an AI is participating or that the conversation is being transcribed, or to get their consent. You are solely responsible for meeting those requirements.
7.4 The Service is not designed for emergency calls, medical, legal or financial advice, or any situation where an error could cause death, injury or serious harm. Do not use it for those purposes.
8. Developer API
8.1 If you use the API or SDKs, you must keep API keys secret, store them only on servers you control, and use the short-lived token flow for browsers and devices.
8.2 You are responsible for your end users' use of the Service through your integration. You must flow down terms at least as protective as these Terms and our Acceptable Use Policy, obtain any consents your end users need to give (including voice-clone consent), and promptly act on abuse we report to you.
8.3 We may set and change rate limits, concurrency limits and quotas. You must not try to get around them, or resell raw API access as a stand-alone voice service, without a written agreement with us.
8.4 Where you process personal data of your end users through the API, our Data Processing Addendum applies on request.
9. Acceptable use
You must follow the Acceptable Use Policy. In particular, you must not use the Service for impersonation, fraud, harassment, deceptive political content, getting around voice-based security, or any illegal purpose.
10. Third-party services
The Service works with third-party apps (such as video-calling, streaming and chat platforms) and depends on third-party providers. Your use of third-party apps is governed by their own terms. We are not responsible for third-party services, and their availability may change.
11. Our intellectual property
The Service, including software, models we license, preset voices, sound library, design and trademarks, belongs to us or our licensors and is protected by law. Except for the limited rights expressly granted in these Terms, we grant you no rights. You must not copy, modify, reverse engineer, decompile or create derivative works of the Service, or use it to build a competing product, except to the extent the law permits despite this restriction.
12. Feedback
If you send us ideas or feedback, we may use them without obligation to you.
13. Suspension and termination
13.1 You may close your account at any time in Settings.
13.2 We may suspend or terminate your access, remove content or clones, or withhold credits immediately if we reasonably believe you have breached these Terms or the Acceptable Use Policy, created risk or legal exposure for us or others, or if required by law. Where reasonable, we will tell you why and give you a chance to respond.
13.3 We may cooperate with law enforcement and affected parties, and report suspected illegal activity, including by preserving and disclosing relevant information as permitted by law.
13.4 On termination, your right to use the Service ends. Sections that by their nature should survive (including 4.4, 6, 7, 11 and 14 to 19) survive termination.
14. Disclaimers
The Service and Output are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation. Latency, voice quality, emotion rendering and transcription accuracy vary with network conditions, devices and providers.
15. Limitation of liability
15.1 To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, even if we were told they were possible.
15.2 Our total liability for all claims relating to the Service in any 12-month period is limited to the greater of (a) the amount you paid us in that period, and (b) US$100.
15.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law. If you are a consumer, you keep your statutory rights.
16. Indemnity
You will defend, indemnify and hold harmless Vaux, its affiliates and their personnel against claims, losses and expenses (including reasonable legal fees) arising from Your Content, your voice clones, your use of Output, your integration or end users, or your breach of these Terms, the Acceptable Use Policy or the law.
17. Changes to these Terms
We may update these Terms. For material changes, we will notify you by email or in the app at least 14 days before they take effect, unless the change is required by law or to address abuse. If you keep using the Service after the effective date, you accept the new Terms. If you do not agree, you must stop using the Service.
18. Governing law and disputes
18.1 These Terms are governed by the laws of the Federal Republic of Nigeria.
18.2 Before starting formal proceedings, please contact us at [email protected] so we can try to resolve the dispute informally within 30 days.
18.3 Disputes that are not resolved informally will be finally resolved by arbitration in Lagos under the Arbitration and Mediation Act 2023, before a single arbitrator, in English. Either party may seek urgent injunctive relief in a court of competent jurisdiction.
18.4 If you are a consumer living in the European Union, the United Kingdom or another jurisdiction whose laws give you the right to bring claims in your local courts or under your local law, nothing in this section removes that right.
19. General
These Terms are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Notices to you may be sent by email or in the app; notices to us must go to [email protected].
